1. Definitions

Throughout these Terms, the following words have the meanings given here:

• "Ripenest" / "We" / "Us" / "Our" — refers to Ripenest, operating from 80 Niphat Uthit 3 Road, Hat Yai, Songkhla 90110, Thailand.
• "Services" — refers to any educational session, helpdesk appointment, or membership circle offered by Ripenest, whether attended in person or otherwise arranged.
• "User" / "You" / "Your" — refers to any individual who registers for, attends, or enquires about our Services.
• "Content" — refers to all printed handouts, reference materials, session notes, or other information produced and shared by Ripenest.
• "Agreement" — refers to these Terms & Conditions in their entirety, together with our Privacy Policy and Cookie Policy.
• "Session" — refers to a scheduled educational talk, helpdesk drop-in, or community gathering hosted by Ripenest.

2. Acceptance of Terms

By registering for a Session, making a payment, or submitting an enquiry through our website or in person, you confirm that:

• You have read and understood these Terms;
• You are at least 18 years of age or are accompanied by a responsible adult where applicable;
• You have the legal capacity to enter into this Agreement on your own behalf or on behalf of a family member you are assisting;
• You agree to be bound by these Terms for the duration of your engagement with Ripenest.

If you do not agree with any part of these Terms, please do not register for our Services.

3. Service Description

Ripenest provides educational and organisational support services for individuals preparing for or navigating retirement. Our current offering consists of three Services:

Services are available to participants located in or able to travel to Hat Yai, Songkhla, Thailand. Ripenest reserves the right to adjust session dates, venues, or formats with reasonable notice.

4. Enrollment & Attendance

• Registration is confirmed only upon receipt of full payment (or an agreed deposit where applicable).
• Session places are limited and allocated on a first-come, first-served basis.
• You are responsible for arriving punctually. Ripenest is not obliged to repeat content missed due to late arrival.
• If you are unable to attend a booked Session, please notify us as early as possible. Refund terms are set out in Section 7.
• Ripenest reserves the right to refuse admission to any individual who behaves disruptively or in a manner inconsiderate to other participants.
• Photographs or recordings during Sessions are not permitted without prior written consent from Ripenest.

5. Your Responsibilities

When using our Services, you agree to:

• Provide accurate and truthful information when registering or enquiring;
• Treat our staff, volunteers, and fellow participants with courtesy and respect;
• Use our Content for personal, non-commercial purposes only;
• Not reproduce or distribute our handouts or reference materials without written permission;
• Not use our sessions to solicit, advertise, or promote any product, service, or organisation;
• Comply with any reasonable instructions given by Ripenest staff during a Session.

6. Intellectual Property

All Content produced by Ripenest — including session materials, handouts, reference guides, website text, and visual design — remains the intellectual property of Ripenest. We grant you a limited, personal, non-exclusive licence to use Content you receive during a Session for your own private reference. This licence does not permit:

• Copying or reproducing Content for public distribution;
• Selling or commercially exploiting Content;
• Presenting Content as your own work;
• Modifying Content without our written consent.

Any feedback or suggestions you share with us may be used to improve our Services without obligation to you.

7. Payment & Refunds

All prices are displayed in Thai Baht (฿) and are inclusive of any applicable taxes unless stated otherwise.

Payment

• Payment is due in full at the time of registration unless an alternative arrangement has been agreed in writing with Ripenest.
• Accepted payment methods will be confirmed at the point of enquiry or registration.

Cancellations & Refunds

• Cancellations made 7 or more days before a Session: full refund, less any bank transfer charges.
• Cancellations made 3–6 days before a Session: 50% refund.
• Cancellations made within 2 days of a Session or non-attendance without notice: no refund.
• If Ripenest cancels or significantly reschedules a Session, you will receive a full refund or may transfer your place to an alternative date.
• Year-Round Information Circle memberships are non-refundable after the first gathering has been attended.

8. Disclaimers

• Our Services are provided in good faith based on publicly available information. We do not warrant the accuracy, completeness, or currency of any information shared.
• Participation in our Sessions does not confer any qualification, entitlement, or official status.
• Outcomes from applying information discussed in our Sessions are entirely the responsibility of the individual. Ripenest makes no representation about personal results.
• Our website and Content are provided "as is" without warranties of any kind, express or implied.

9. Limitation of Liability

To the fullest extent permitted by Thai law:

• Ripenest's total liability to you in connection with our Services will not exceed the amount you paid for the specific Service giving rise to the claim.
• Ripenest will not be liable for any indirect, consequential, or special loss arising from your use of our Services, including any decisions made on the basis of information received at our Sessions.
• Ripenest is not liable for loss of personal belongings, or personal injury sustained at a Session venue, except where this results from our proven negligence.
• Events beyond our reasonable control — including illness of staff, venue unavailability, natural events, or public health restrictions — may cause Sessions to be rescheduled without liability to Ripenest.

10. Indemnification

You agree to indemnify and hold harmless Ripenest and its staff from any claims, damages, or costs (including reasonable legal fees) arising from your misuse of our Services, your breach of these Terms, or any false or misleading information you have provided to us.

11. Termination

Either party may end the relationship under these Terms:

• By You: You may choose not to continue attending Sessions at any time. Refund terms in Section 7 apply.
• By Ripenest: We may end your participation if you breach these Terms, behave in a way that disrupts other participants, or if circumstances make it necessary to close a programme. In such cases, a proportional refund will be considered.
• Sections 6, 8, 9, 10, and 12 survive termination of this Agreement.

12. Dispute Resolution

We hope to resolve any concern informally and promptly. If you have a complaint, please contact us first at [email protected] or by phone at +66 74 286 9015.

• We will acknowledge your complaint within 5 working days and work with you to reach a fair resolution.
• If informal resolution is not achieved, the dispute will be referred to mediation in Songkhla Province before any further action.
• These Terms are governed by and construed in accordance with the laws of the Kingdom of Thailand.
• The courts of Songkhla Province, Thailand, shall have exclusive jurisdiction over any dispute arising from these Terms.

13. General Provisions

• Entire Agreement: These Terms, together with our Privacy Policy and Cookie Policy, constitute the full agreement between you and Ripenest.
• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions continue in full effect.
• Waiver: Our failure to enforce any right or provision does not waive our right to do so in future.
• Assignment: You may not transfer your rights under these Terms to another person without our written consent.
• Notices: Notices to Ripenest should be sent by email to [email protected] or by post to our registered address. Notices to you will be sent to the contact details you provided at registration.

14. Changes to Terms

Ripenest may update these Terms from time to time to reflect changes in our Services, legal requirements, or operational practices. When we do:

• The updated Terms will be posted on this page with a revised "Last Updated" date;
• For material changes, we will notify existing members and registered participants by email;
• Continued use of our Services after changes become effective constitutes acceptance of the revised Terms.
